David Joyner is President and Chief Executive Officer of CVS Health, leading more than 300,000 colleagues who are passionate about building a world of health around every consumer. The Company touches the lives of more than 100 million people through its health care benefits and pharmacy benefits management businesses and presence in over 9,000 community health destinations across the United States.

David brings more than 37 years of health care and pharmacy benefit management experience to the company. He was formerly Executive Vice President and President of Pharmacy Services for the Company from January 2023 until October 2024. David formerly served on the boards of several private equity-backed health care companies. He also served as an advisor to the founder and chief executive officer of gWell, a precision health and medicine company focused on providing value-based condition management to payors and employers. David began his career at Aetna as an employee benefit representative before joining Caremark Prescription Services as a regional sales manager. He then served as executive vice president of sales and account services at CVS Caremark and executive vice president of sales and marketing at CVS Health. 

David holds a bachelor’s degree in finance from The Rawls College of Business at Texas Tech University, where he currently sits on the advisory council.

Heidi Capozzi is the Executive Vice President and Chief People Officer at CVS Health. Heidi is responsible for all aspects of our human resources, labor relations, compensation and benefits, and corporate social responsibility efforts.

Prior to joining CVS Health, she was at McDonald’s, serving as executive vice president and global chief people officer with responsibility for the company’s global human resources operations and leading talent management, learning and development, total rewards, and corporate employee relations. Prior to McDonald’s, Heidi held senior roles in human resources at Boeing, including as senior vice president and chief human resources officer. Her early career included roles across the Human Resources function in large and small enterprises in the defense and automotive industries.

Heidi is a member of the board of directors Human Resources Policy Association (HRPA) and Cornell University Center for Advanced Human Resource Studies (CAHRS). She holds a bachelor's degree from Oberlin College in political science and East Asian studies and earned a master's degree in human resources and industrial relations from the University of Minnesota.

Dr. Sree Chaguturu is Executive Vice President and President of Health Care Delivery of CVS Health. He leads the Company’s Health Care Delivery service offerings and is responsible for continuing to build a fully integrated, value-based care ecosystem that drives superior health outcomes for patients and more effectively addresses total cost of care with innovative clinical models.  

Previously, Sree was Chief Medical Officer, where he led the CVS Health Medical Affairs organization, focused on advancing the highest possible clinical quality standards, increasing access to care, improving patient outcomes, and reducing overall health care costs across the CVS Health enterprise. He previously served as Chief Medical Officer of CVS Caremark, where he provided clinical oversight of the pharmacy benefits manager.

Before joining CVS Health, Sree was Chief Population Health Officer of Mass General Brigham, the largest health care system in Massachusetts. He led the system’s accountable care organization and numerous clinical care delivery and innovation programs. He is also a practicing internal medicine physician at Massachusetts General Hospital.

Sree earned his bachelor’s degree in biology from Brown University and his doctorate of medicine from Brown University Medical School. He completed his internal medicine and primary care training at Massachusetts General Hospital.

Amy Compton-Phillips, M.D., is Executive Vice President and Chief Medical Officer at CVS Health. She leads the Company’s clinical strategy and medical affairs organization, with a focus on delivering high-quality, accessible care and improving health outcomes across the CVS Health enterprise and its assets.

Amy has more than 30 years of clinical and operational experience, with a track record of driving transformation, including leadership roles at major health systems and in performance improvement consulting. Most recently, she served as president and chief physician executive at Press Ganey, where she guided provider organizations and health plans through system-wide clinical transformation.

Prior to Press Ganey, Amy served as president of clinical care at Providence, a national health care system, overseeing clinical operations across 51 hospitals and more than 1,000 clinics. Earlier in her career, she spent over two decades at Kaiser Permanente, where she held several leadership positions, including serving as chief quality officer.

Amy previously served on the boards of national health organizations including HIMSS and WellCare, and currently serves on the board of the Institute for Systems Biology. She served as a medical analyst for CNN, where she communicated critical public health guidance during the COVID-19 pandemic. She is a board-certified internist who holds a bachelor’s degree from Johns Hopkins University and a medical degree from the University of Maryland School of Medicine.

Ed DeVaney is Executive Vice President and President of Pharmacy Services at CVS Health, which provides solutions to employers, health plans and government businesses and serves more than 88 million members through CVS Caremark, CVS Specialty and other areas.

Ed brings more than 25 years of health care and pharmacy benefit management experience to the role. Most recently, Ed served as president of employer and health plan sales and account management, where he was responsible for all new business sales and enhancing partnerships with existing customers. He also oversaw marketing and regulatory affairs.

Ed began his career at Hewitt Associates, focusing on health care consulting and benefits administration.

He holds a master’s in business administration from Wake Forest University, and a bachelor’s degree in finance and marketing from Marquette University. He is a board member of ‘A Kid Again’, a non-profit that creates positive experiences for children with terminal illnesses at no cost to the families.

David A. Falkowski is Executive Vice President and Chief Compliance Officer at CVS Health. In this role, David leads the company’s Compliance and Corporate Security & Resiliency teams.

Prior to assuming the Chief Compliance Officer role in 2015, David served as Vice President and General Auditor of CVS Health for four years. During that time, David helped enhance the company’s audit practices and focus on compliance assurance.

David is a seasoned executive with more than 25 years in a variety of compliance, financial and operational leadership positions.Prior to CVS Health, David held executive roles at National Grid in the United Kingdom and United States.

David earned a bachelor’s degree in accounting and an MBA, with a concentration in finance, from Bentley College.

Sam Khichi is executive vice president, chief policy officer and general counsel at CVS Health. He leads the legal, compliance, government affairs and communications teams. Together the teams work to support the company's strategy and grow our business with integrity, protect our brand and assets with tenacity, and serve our customers with heart.  

Prior to joining CVS Health, Sam served at Becton Dickinson as executive vice president, corporate development, public policy, regulatory affairs and general counsel. He joined Becton Dickinson through the acquisition of C. R. Bard where he served as senior vice president, general counsel and secretary, and previously was the chief administrative officer, senior vice president and general counsel at Catalent Pharma Solutions. He has led significant transformations at complex and large-scale health care organizations. 

Sam previously served as a reserve officer in the United States Navy, an active-duty field artillery officer in the United States Army and a White House Fellow appointed by President George W. Bush. He earned a bachelor’s degree in business from Georgetown University, a Juris Doctor from Fordham University School of Law and a master’s degree in business administration from the Northwestern University Kellogg School of Management Executive MBA Program. 

Tilak Mandadi is Executive Vice President, Ventures and Chief Experience and Technology Officer of CVS Health. He leads the company’s data, digital and technology strategy while overseeing growth and innovation through digital-led, consumer-facing experiences.
Previously, Tilak was Chief Strategy Officer at MGM Resorts International. Prior to MGM, he was Executive Vice President of Digital, and Chief Technology Officer at Disney, where he oversaw a global team of digital, data, operations, technology, creative and product professionals. His team was responsible for serving more than 150 million annual guests and consumers worldwide across Disney theme parks, hotels, cruise ships, retail stores, restaurants, Disney Vacation Club properties and the Adventures by Disney travel businesses.
Prior to Disney, Tilak led global Digital Transformation, including cards, consumer travel and banking, at American Express.
Over the course of his executive career, Tilak has very successfully led innovative startups as well as large global organizations across different industries and diverse cultures, including financial services, hospitality, travel and entertainment, retail, food and beverage, IT services and energy trading.
Tilak holds a master’s degree in computer science from the University of Oregon.

Larry McGrath is Executive Vice President, Chief Strategy Officer and Chief Strategic Advisor to the CEO of CVS Health. He joined the company in July 2022 and oversees enterprise strategy, Office of the CEO and investor relations.

Larry has extensive experience in health care and financial services. With his more than 20 years of financial services experience, Larry has gained deep knowledge of the industry and has many connections to the analyst community.

Before joining CVS Health, he served as a global health care portfolio manager of J.P. Morgan asset management in New York City. In this role, he spent several years as a core investing analyst in the global health care space, managing a $7 billion product for J.P. Morgan clients.

Prior to J.P. Morgan, Larry spent time as a health care analyst at Pioneer Investments in Boston and Setanta Asset Management in Dublin, Ireland.

Larry earned a degree in commerce, banking and finance from University College in Dublin and a master’s degree in investment and treasury management from Dublin City University.

Steve Nelson is Executive Vice President and President of Aetna. He previously served as chief executive officer of UnitedHealthcare, a division of UnitedHealth Group. During his tenure there, he held several leadership roles leading UnitedHealthcare’s Commercial and Government businesses to significant improvements in growth, profitability, employee engagement and culture, and customer satisfaction.

Steve has deep experience leading several managed care and health care delivery companies, and most recently served as Chief Executive Officer of ChenMed, a leading value-based primary care company.

Prior to joining UnitedHealthcare, Steve held several leadership positions at Henry Ford Health System.

Brian Newman is Executive Vice President and Chief Financial Officer, and is responsible for the strategic financial leadership of CVS Health, which includes communication of the firm’s strategy and performance to investors, as well as managing the capital structure to maximize shareholder return. Brian leads all accounting, actuarial, financial planning, risk management, tax, corporate development, investment and treasury activities at CVS Health. 

Prior to joining CVS Health, Brian served as Executive Vice President and Chief Financial Officer of United Parcel Service, Inc., from 2019 to May 2024. Prior to joining UPS, he spent 26 years at PepsiCo, Inc., where he served in a variety of finance leadership roles spanning Europe, Asia and North and South America. He also served as Executive Vice President for PepsiCo’s Global Operations, responsible for global operations including supply chain, global procurement, global security, enterprise risk management and transformation, and as PepsiCo’s Chief Strategy Officer.

Brian holds a bachelor’s degree in foreign service from Georgetown University and a master’s degree in business administration from NYU Stern School of Business. Brian serves on the Board of Colgate-Palmolive, as well as the Board of Regents at his alma mater, Georgetown University.

Prem Shah is Executive Vice President and Group President of CVS Health and is responsible for the operational performance and integrated value creation across the Company's Pharmacy Services, Pharmacy & Consumer Wellness, and Health Care Delivery businesses.

He joined CVS Health in 2013 and has held leadership positions in the pharmacy benefit management, specialty pharmacy, and retail pharmacy businesses. Prem most recently served as executive vice president and chief pharmacy officer, CVS Health and president, Pharmacy & Consumer Wellness, with oversight and responsibility for the company’s omnichannel pharmacy strategy focused on integration across all dispensing channels to make pharmacy interactions as personalized and seamless as possible, and oversaw all aspects of the company’s retail business, including its more than 9,000 community store locations. He helped lead the transformation of CVS Pharmacy as innovative, digitally-led health and wellness destinations helping consumers manage more aspects of their care through best-in-class pharmacy and health services, convenient and local personalized care solutions and over-the counter health and wellness offerings and products. He also previously had oversight of the company’s Specialty Pharmacy business, helping deliver high quality patient care, while improving preference among physicians, health plans and health systems.

Prior to joining CVS Health, Prem was senior vice president of ICORE, a Magellan Health Services Company. He also led the startup of the Specialty Pharmacy division at WellCare Health Plans, Inc. and served in other management roles.

Prem holds a Doctorate of Pharmacy from the University of Florida. He currently serves on the Board of Directors for Red Oak Sourcing.

Len Shankman is Executive Vice President and President of Pharmacy & Consumer Wellness. In this role, he oversees the front store and retail pharmacy businesses across the company’s more than 9,000 CVS Pharmacy locations, continuing the company’s commitment to deliver integrated digitally-led experiences that meet consumers’ health and wellness needs when and where they want to be met.

Len joined CVS Health in 2002 and has held positions of increasing responsibility within the finance organization, most recently as senior vice president and chief financial officer, Pharmacy and Consumer Wellness. Len also held leadership positions in the company’s Specialty Pharmacy business and as general manager for Coram, the CVS Specialty infusion business.

Prior to joining CVS Health, Len served as an officer in the United States Navy.

Len holds a bachelor’s degree in political science from The University of Illinois Urbana-Champaign and an MBA in finance and marketing from The Kellogg Graduate School of Management at Northwestern University.

Sheryl Burke is the Chief Sustainability Officer and SVP of Corporate Social Responsibility & Philanthropy at CVS Health. Sheryl is responsible for guiding the CVS Health enterprise to success in reaching our ten-year CSR Strategy: Healthy 2030. She is responsible for accelerating CVS Health’s leadership in Sustainability and Social Responsibility practices. Sheryl also serves as President of CVS Health’s Foundation, where she aligns the Foundation’s philanthropic strategies to CVS Health’s strategy of bringing heart to every moment of your health.

Prior to this, Sheryl led Aetna’s Cross-Enterprise Strategic Innovation organization. She was responsible for accelerating CVS Health’s strategy to deliver unmatched access, engagement and connectivity to care through a best-in-class, consumer-centric experience. In this role, she led Aetna’s behavioral health and clinical strategy, products and operations organizations. Additionally, Sheryl led the Enterprise Product Council and Aetna’s work related to COVID-19 vaccine administration.

With more than 25 years of experience in the health care industry, Sheryl has dedicated the bulk of her career to Aetna and CVS Health. Because of her results-driven leadership style and strong analytical skills, Sheryl has led multiple businesses within Aetna, as well as multiple acquisitions and divestitures. 

Sheryl is passionate about giving back to the community outside her daily responsibilities. She serves on the Hartford Promise Board of Directors, whose mission is to expand the post-secondary educational opportunities for the children of Hartford and, in doing so, transform the lives of Hartford students and the city. Sheryl also served as a member of the Aetna Foundation Board of Directors for seven years and volunteers her time and talents with several Hartford, CT area non-profit organizations, including Arm2Arm and South Congregational Youth in Mission. 

Sheryl holds a BA in Economics from Bard College. 

Jim Clark is Senior Vice President, Controller and Chief Accounting Officer for CVS Health. In this position, he is responsible for accounting and financial reporting, aviation, and procurement. Previously, Clark served as Vice President of Finance and Accounting for CVS Health for more than nine years.

Before joining CVS Health, Clark spent 22 years in public accounting working in the San Francisco, Stockholm, and Boston audit practices of Deloitte & Touche LLP, including eight years as an audit partner.

A certified public accountant, Clark graduated from San Diego State University with a Bachelor of Science in Business Administration. He is a member of the American Institute of Certified Public Accountants.

Kristina Fink is the Senior Vice President, Chief Governance Officer and Corporate Secretary at CVS Health. Kristina is an advisor and resource to the CVS Health Board of Directors and to senior management, providing counsel on board responsibilities and corporate governance matters. She engages with investors on governance-related issues and oversees the annual proxy statement process. Kristina also provides legal oversight for corporate and securities matters, including SEC and NYSE compliance, as well as legal support for treasury, labor and employment, corporate finance, compensation and benefits.

Kristina is the President of the Shareholders Relations Society, a member of the Advisory Board as well as the former President of the New York Chapter of the Society of Corporate Governance Professionals and an active participant in several other governance groups and forums.

Kristina joined CVS Health in May 2024 from the American Express Company, where she held the position of Vice President, Corporate Secretary and Chief Governance Officer. During her seven-year tenure at American Express, she led a team providing governance support to the American Express National Bank, its committees and global subsidiaries. Kristina was also a member of the leadership team of the General Counsel's Organization and the company's ESG Steering Committee.

Prior to her time at American Express, Kristina served as Assistant Corporate Secretary at The Guardian Life Insurance Company of America. Before that, she worked as a senior associate at Clifford Chance US LP for six years, specializing in corporate governance advice, company periodic reports and securities offerings within the Capital Markets group. Kristina began her legal career as an in-house securities lawyer at Bear Stearns, where she worked for five years.

Kristina grew up in Westchester County, NY and graduated from Tulane University cum laude majoring in History and graduated from Brooklyn Law School where she served as an Articles Editor of The Journal of Law and Policy. Kristina resides in New York City with her husband Zack, her daughter Serena and their Cavalier King Charles Spaniel.

Tracy L. Smith is Senior Vice President and Treasurer of CVS Health. In her role, Tracy directs and oversees the company’s capital structure: Treasury Services and Operations, Insurance Capital, Risk Management, EH&S (environment, health and safety), along with balance sheet and free cash flow forecasting and leasing. Previously, she served as assistant treasurer supporting the management of the capital structure and led the cash management and consumer payments teams. She has also held various positions within the Finance organization including leading the company’s External Reporting and Technical Accounting team. Tracy has spoken at the Rainbow PUSH Coalition’s Wall Street Economic Summit and is a member of the Treasury Management Association of New England (TMANE) and the Network of Executive Women. She is a former member of the Board of Directors and Treasurer of the Rhode Island PBS Foundation. Prior to joining CVS Health in 1998, Tracy held various positions at Fleet Bank including in their real estate divisions and corporate consolidation teams assisting with the integration of multiple acquisitions and mergers, including the merger with Bank of America. She is a graduate of Bryant University, with a Bachelor of Business Administration in Accounting and Finance.

Thomas S. Moffatt, Vice President, Assistant Secretary and Senior Legal Counsel of CVS Health Corporation since January 2014; Vice President and Secretary of CVS Health Corporation from January 2012 through December 2013; Vice President, Secretary and Senior Legal Counsel – Corporate Services of CVS Pharmacy, Inc. since August 2008. In this role, Mr. Moffatt provides legal oversight and support for a wide variety of corporate legal matters, including corporate governance, corporate structure and maintenance, SEC and NYSE reporting and compliance and capital markets transactions.
Prior to joining CVS Health in August 1997, Mr. Moffatt spent four years as a corporate law associate at the law firm of Mintz Levin in Boston.
Mr. Moffatt earned his Bachelor of Arts degree from Harvard College, and his Juris Doctor degree from Northeastern University School of Law.
