Karen S. Lynch is President and Chief Executive Officer of CVS Health, leading more than 300,000 colleagues who are passionate about building a world of health around every consumer. The company touches the lives of more than 100 million people through its health care benefits and pharmacy benefits management businesses, and presence in over 9,000 community health destinations across America.

Karen has over three decades of experience in the health care industry. Prior to becoming president and CEO in February 2021, Karen was executive vice president of CVS Health and president of Aetna®, where she was responsible for delivering consumer-centric, holistic health care to the millions of people Aetna serves. Before joining CVS Health, Karen held executive positions at Cigna® and Magellan Health®, where she served as president. She began her career with Ernst & Young as a certified public accountant.

In 2023, Karen was selected for the TIME100 annual list of the hundred most influential people in the world. She was named the top-ranking leader for the last three years on Fortune's list of the Most Powerful Women in Business.

Karen graduated from Boston College and received her MBA from Boston University’s Questrom School of Business. She serves on the Board of Directors for the JFK Library Foundation and is a member of the Business Roundtable.

Dr. Sree Chaguturu is Executive Vice President and Chief Medical Officer of CVS Health, where he focuses on matters related to the health and safety of patients and members of each of CVS Health’s three operating segments, while also contributing to the overall mission of CVS Health. Dr. Chaguturu previously served as Senior Vice President and Chief Medical Officer of CVS Caremark, the Company’s Pharmacy Services segment.

Prior to joining the Company in 2019, he was most recently Chief Population Health Officer at Mass General Brigham (formerly Partners Healthcare), an integrated health care system based in Boston, and previously was a health care consultant at McKinsey & Company. 

Dr. Chaguturu is also a practicing internal medicine physician at Massachusetts General Hospital and a Lecturer at Harvard Medical School.  His articles have appeared in publications such as the New England Journal of Medicine, JAMA (the Journal of the American Medical Association), and Health Affairs.  Dr. Chaguturu received his bachelor’s degree in biology from Brown University and his doctorate of medicine degree from Brown University Medical School. He completed his internal medicine and primary care training at Massachusetts General Hospital.

Tom Cowhey is Executive Vice President and Chief Financial Officer of CVS Health. In his role, he leads a variety of finance functions, including investor relations, corporate development, treasury, enterprise performance, risk management, investments and shared service finance operations.

Prior to joining CVS Health, Tom served as executive vice president and chief financial officer of Surgery Partners, the largest independent operator of short-stay surgical facilities in the United States, and held responsibility for all financial operations, information technology, revenue cycle and procurement.

Earlier in his career, Tom was chief financial officer of Aetna’s Institution Business portfolio, with financial responsibility for a book of business that included national accounts, employer products, group commercial insured and self-insured products, government-sponsored products, including Medicare and Medicaid, as well as a portfolio of specialty business. From 2007 to 2018, Tom held various responsibilities at Aetna®, including management of Aetna’s investor relations, corporate development and treasury functions, and financial responsibility for Aetna’s Consumer Health and Services portfolio. Notably, during his time at Aetna, he helped to lead the process to outsource Aetna’s pharmacy business to CVS / Caremark®, and also led the transaction process for the announced acquisition of Humana. Prior to his time at Aetna, Tom held a variety of investment banking roles over the span of a decade, including at Credit Suisse First Boston and Legacy Partners Group.

Tom received his B.A. degree in economics from Wesleyan University and an M.B.A. degree with a concentration in health sector management from Duke University.

David A. Falkowski is Executive Vice President and Chief Compliance Officer at CVS Health. In this role, David leads the company’s Compliance and Corporate Security & Resiliency teams.

Prior to assuming the Chief Compliance Officer role in 2015, David served as Vice President and General Auditor of CVS Health for four years. During that time, David helped enhance the company’s audit practices and focus on compliance assurance.

David is a seasoned executive with more than 25 years in a variety of compliance, financial and operational leadership positions.Prior to CVS Health, David held executive roles at National Grid in the United Kingdom and United States.

David earned a bachelor’s degree in accounting and an MBA, with a concentration in finance, from Bentley College.

Katerina Guerraz is Executive Vice President, Chief Strategy and Enterprise Affairs Officer for CVS Health. She is responsible for enterprise strategy, corporate communications and serves as the Chief Strategic Advisor to the President and CEO. Katerina leads the enterprise business management and planning processes that are necessary for CVS Health achieving its business goals.

Most recently, Katerina was the Chief Operating Officer for the Aetna Group Medicare business, which provides retiree health solutions for employers and more than one million members. She led the overall operations for this $14 billion business which included client retention and growth for over 500 employers, strategic marketing and communications, strategic planning and sales operations.

Prior to her Medicare role, Katerina was the vice president of enterprise strategy and integration services and planning, and led strategic initiatives that spanned Aetna divisions. She also led the Enterprise Distribution COE for the company’s institutional businesses, which provides health solutions for employers and serves over 15 million members.

Since joining the company in 2000, Katerina has held various leadership positions spanning sales operations, strategy, marketing, planning and communications. Before joining Aetna, Katerina led strategic and clinical research initiatives for the pharmaceutical industry and various government organizations such as the National Institutes of Health and the National Institute of Drug Abuse. Katerina earned a B.A. in economics and a master’s degree in public health from the University of Connecticut.

Laurie Havanec is Chief People Officer at CVS Health, responsible for leading all areas of talent and culture and inspiring and engaging our nearly 300,000 colleagues across the company.
Laurie brings over 20 years of experience to CVS Health, most recently serving as Executive Vice President and Chief People Officer of Otis Worldwide Co., the world’s leading company for elevator and escalator maintenance, installation, and service.
Before joining Otis, Laurie served as Corporate Vice President of Talent and Human Resources at United Technologies Corporation (UTC) where together with her team, she transformed and modernized the company’s talent agenda and priorities. She championed technology and new ways of thinking to create industry-leading practices in engagement, recruitment and performance. From 2013 to 2017, Laurie served as Vice President of Human Resources Institution Businesses, overseeing Aetna’s largest business segment with 60 billion in revenue. Prior to that, she held the title of Vice President of Talent Management and Human Resources for Aetna International.
Laurie earned a BS in Business from the University of Connecticut and a JD from the University of Connecticut School of Law. She’s a seasoned HR professional who has worked across all human resources functions including talent development, diversity, equity and inclusion, compensation and benefits as well as labor and employee relations.

David Joyner is Executive Vice President and President of CVS Caremark. He leads the Pharmacy Services business, which provides solutions to employers, health plans and government businesses and serves more than 110 million members through CVS Caremark, CVS Specialty and other areas.
David brings more than 37 years of health care and pharmacy benefit management experience to the company. Most recently, David served on the boards of several private equity-backed health care companies. He also served as an advisor to the founder and chief executive officer of gWell, a precision health and medicine company focused on providing value-based condition management to payors and employers. David began his career at Aetna as an employee benefit representative before joining Caremark Prescription Services as a regional sales manager. He then served as executive vice president of sales and account services at CVS Caremark and executive vice president of sales and marketing at CVS Health.
David holds a bachelor’s degree in finance from The Rawls College of Business at Texas Tech University, where he currently sits on the advisory council.

Brian Kane is Executive Vice President and President of Aetna, the Company’s Health Care Benefits (HCB) business. He is responsible for delivering consumer-centric, holistic health care to the more than 36 million members served by HCB through the Medicare, Medicaid, commercial and ancillary businesses. He also is charged with simplifying the health experience using digital solutions, making health care more cost-effective and bringing to market CVS Health-connected capabilities that demonstrate the company’s unique ability to serve the needs of customers, members and providers.

Prior to joining CVS Health, Brian acted as a strategic consultant to multiple leading private equity firms, providing strategic, operational, organizational and financial advice on a range of health care services companies. He previously served as Chief Financial Officer of Humana, a Fortune 50 Health insurance company with approximately $90 billion in annual revenue and over $60 billion in equity market capitalization. He was also a member of Humana’s senior management team, where he played a critical role in the formulation and execution of the company’s strategy.

Before joining Humana, Brian spent 17 years at Goldman, Sachs & Co. as a managing director in the Investment Banking Division. Throughout his banking career, he sourced and executed significant financings and mergers and acquisitions, as well as managed shareholder activists on behalf of clients in health care, consumer retail, financial services, real estate and hospitality industries.

Brian serves on the New York Historical Society’s Board of Trustees, the Louisville Orchestra Board of Directors and Teach for America-Appalachia’s Executive Advisory Board. He earned a bachelor’s degree in economics and political science from Stanford University, as well as a master’s in business administration from Harvard University.

Sam Khichi is Executive Vice President, Chief Policy Officer and General Counsel at CVS Health. He leads the legal, compliance and government affairs teams who support the company's strategy to make health care more accessible and affordable, leading to better health outcomes for all.

Prior to joining CVS Health, Sam served at Becton Dickinson as executive vice president, corporate development, public policy, regulatory affairs and general counsel. He joined Becton Dickinson through the acquisition of C. R. Bard where he served as senior vice president, general counsel and secretary, and previously was the chief administrative officer, senior vice president and general counsel at Catalent Pharma Solutions. He has led significant transformations at complex and large-scale health care organizations.

Sam previously served as a reserve officer in the United States Navy, an active-duty field artillery officer in the United States Army and a White House Fellow appointed by President George W. Bush. He earned a bachelor’s degree in business from Georgetown University, a Juris Doctor from Fordham University School of Law and a master’s degree in business administration from the Northwestern University Kellogg School of Management Executive MBA Program.

Tilak Mandadi is Executive Vice President, Ventures and Chief Digital, Data, Analytics and Technology Officer of CVS Health. He leads the company’s data, digital and technology strategy while overseeing growth and innovation through digital-led, consumer-facing experiences.
Previously, Tilak was Chief Strategy Officer at MGM Resorts International. Prior to MGM, he was Executive Vice President of Digital, and Chief Technology Officer at Disney, where he oversaw a global team of digital, data, operations, technology, creative and product professionals. His team was responsible for serving more than 150 million annual guests and consumers worldwide across Disney theme parks, hotels, cruise ships, retail stores, restaurants, Disney Vacation Club properties and the Adventures by Disney travel businesses.
Prior to Disney, Tilak led global Digital Transformation, including cards, consumer travel and banking, at American Express.
Over the course of his executive career, Tilak has very successfully led innovative startups as well as large global organizations across different industries and diverse cultures, including financial services, hospitality, travel and entertainment, retail, food and beverage, IT services and energy trading.
Tilak holds a master’s degree in computer science from the University of Oregon.

Michelle Peluso is Executive Vice President and Chief Customer and Experience Officer for CVS Health. She leads the company’s approach in defining unparalleled patient and consumer experiences to improve the health and wellbeing of the over 100M people CVS Health serves. Michelle also focuses on enhancing every consumer interaction within the company’s service centers, leveraging cutting-edge technology to drive efficiency and deliver exceptional service and satisfaction. Additionally, Michelle leads the company’s brand and marketing efforts, strengthening the CVS Health connection with consumers across America.
Previously, Michelle served as the Executive Vice President and Chief Customer Officer, CVS Health, and Co-president, Pharmacy and Consumer Wellness. She was responsible for orchestrating the enterprise consumer experience, leading the front store business, bringing innovation into everyday health and wellness and connecting retail consumers to the broader health assets of CVS Health.
Michelle has spent her career building and transforming world-class companies with digital and the consumer at the center. Before joining CVS Health in 2021, she served as senior vice president, digital sales, and chief marketing officer for IBM, where she oversaw global marketing, digital sales and the commercial business. Prior to IBM, Michelle was CEO of Gilt from 2013 until its sale to Hudson’s Bay Company in 2016. In her role at Gilt, she oversaw the expansion of the business and its drive to profitability.
From 2009 to 2013, Michelle served as chief consumer marketing and internet officer for Citigroup, responsible for the bank’s award-winning digital transformation, global consumer marketing and customer experience. She also served from 2002 to 2009 as CEO of Travelocity, pioneering online travel and driving significant scale worldwide. She joined Travelocity following its acquisition of Site59, a travel site she created and launched in 1999.
Michelle earned a bachelor’s degree in economics from the University of Pennsylvania’s Wharton School of Business and a master’s degree in philosophy, politics, and economics from Pembroke College at Oxford University as a Thouron Scholar. She is a member of the board of directors at Nike, Inc.
Michelle has been named a Woman of Power and Influence by the National Organization for Women, one of the world’s Most Creative People by Fast Company, one of the World’s Most Influential CMOs by Forbes, and in 2022 was inducted into Forbes’ CMO Hall of Fame.

Mike Pykosz is Executive Vice President and President of Health Care Delivery at CVS Health. He leads the company’s health care delivery service offerings and is responsible for continuing to build a fully integrated, value-based care ecosystem that drives superior health outcomes for patients and more effectively addresses total cost of care with innovative clinical models.

Mike is the co-founder of Oak Street Health®, a leading network of more than 200 primary care centers across 25 states that delivers value-based care to older adults. He served as its chief executive officer from its founding in 2012 through the company’s acquisition by CVS Health in 2023. During his tenure as CEO, Mike led Oak Street Health through its Initial Public Offering in August 2020 and its acquisition of RubiconMD, the leading technology platform providing access to specialist expertise.

Oak Street Health’s innovative clinical approach has reduced patient hospital admissions by approximately 51%, 30-day hospital readmission rates by 42% and emergency department visits by 51% compared to Medicare benchmarks. In his role as president of health care delivery for CVS Health, Mike is working to unify the company’s care delivery assets, including Oak Street Health, Signify Health® and MinuteClinic®, and identify ways to further leverage the company’s clinical capabilities to improve patient care.

Mike was recognized as one of Modern Healthcare’s “100 Most Influential People in Healthcare” in 2023 for the fourth consecutive year. Prior to founding Oak Street Health, Mike served as a core member of the Payers and Providers practice at The Boston Consulting Group, where he led projects focused on caring for the Medicare population and their unique healthcare needs. Mike has a BS in Biochemistry from the University of Notre Dame and holds a JD from Harvard Law School.

Prem Shah is Executive Vice President and Chief Pharmacy Officer, CVS Health and President, Pharmacy and Consumer Wellness.
As Chief Pharmacy Officer, Prem has oversight and responsibility for the company’s omnichannel pharmacy strategy focused on integration across all channels to make pharmacy interactions as personalized and seamless as possible to meet the needs of consumers when and where they want them, including at home, virtually and in the community.
In his role of President, Pharmacy and Consumer Wellness, Prem also has oversight of all aspects of the company’s retail business, including its more than 9,000 community store locations. Prem is leading the transformation of CVS Pharmacy to innovative, digitally-led health and wellness destinations that help consumers manage more aspects of their care through best-in-class pharmacy and health services, convenient and local personalized care solutions, and over-the-counter health and wellness offerings and products.
Prior to his current role, Prem held several positions at CVS Health where he has provided strategic oversight of key Specialty Pharmacy functions to help deliver high quality patient care, while improving preference among physicians, health plans and health systems. Prior to joining CVS Health, Prem was senior vice president of ICORE, a Magellan Health Services Company. Previously he led the startup of the Specialty Pharmacy division at WellCare Health Plans, Inc. and served in other management roles.
Prem holds a Doctorate of Pharmacy from the University of Florida. He currently serves on the Board of Directors for Red Oak Sourcing.

Sheryl Burke is the Chief Sustainability Officer and SVP of Corporate Social Responsibility & Philanthropy at CVS Health. Sheryl is responsible for guiding the CVS Health enterprise to success in reaching our ten-year CSR Strategy: Healthy 2030. She is responsible for accelerating CVS Health’s leadership in Sustainability and Social Responsibility practices. Sheryl also serves as President of CVS Health’s Foundation, where she aligns the Foundation’s philanthropic strategies to CVS Health’s strategy of bringing heart to every moment of your health.

Prior to this, Sheryl led Aetna’s Cross-Enterprise Strategic Innovation organization. She was responsible for accelerating CVS Health’s strategy to deliver unmatched access, engagement and connectivity to care through a best-in-class, consumer-centric experience. In this role, she led Aetna’s behavioral health and clinical strategy, products and operations organizations. Additionally, Sheryl led the Enterprise Product Council and Aetna’s work related to COVID-19 vaccine administration.

With more than 25 years of experience in the health care industry, Sheryl has dedicated the bulk of her career to Aetna and CVS Health. Because of her results-driven leadership style and strong analytical skills, Sheryl has led multiple businesses within Aetna, as well as multiple acquisitions and divestitures. 

Sheryl is passionate about giving back to the community outside her daily responsibilities. She serves on the Hartford Promise Board of Directors, whose mission is to expand the post-secondary educational opportunities for the children of Hartford and, in doing so, transform the lives of Hartford students and the city. Sheryl also served as a member of the Aetna Foundation Board of Directors for seven years and volunteers her time and talents with several Hartford, CT area non-profit organizations, including Arm2Arm and South Congregational Youth in Mission. 

Sheryl holds a BA in Economics from Bard College.

Jim Clark is Senior Vice President, Controller and Chief Accounting Officer for CVS Health. In this position, he is responsible for accounting and financial reporting, aviation, and procurement. Previously, Clark served as Vice President of Finance and Accounting for CVS Health for more than nine years.

Before joining CVS Health, Clark spent 22 years in public accounting working in the San Francisco, Stockholm, and Boston audit practices of Deloitte & Touche LLP, including eight years as an audit partner.

A certified public accountant, Clark graduated from San Diego State University with a Bachelor of Science in Business Administration. He is a member of the American Institute of Certified Public Accountants.

Carol DeNale currently serves as Senior Vice President and Treasurer of CVS Health. She joined the Company in 1997. Ms DeNale directs and oversees the Company’s capital structure; Treasury Services, Insurance Capital, Corporate Development, Enterprise Risk Management, Risk Management, EH&S (environment, health and safety) and Enterprise Resiliency and Response departments, along with capital expenditure, balance sheet and free cash flow forecasting and leasing. Previously, she led the capital structure and financing discussions for the $69 billion acquisition of Aetna in cash and stock. DeNale structured and negotiated a $49 billion bridge facility and a $5 billion term loan, and successfully led the acquisition financing of a $40 billion unsecured bond offering, the third largest single-day offering in the history of the U.S. market. Ms DeNale has spoken at the SEC Roundtable on Money Market Funds and Systemic Risk and the U.S. Chamber of Commerce Capital Markets Summit, as well as numerous High-Grade Health Care, Consumer and Retail Fixed Income conferences. Prior to joining CVS Health in 1997, DeNale spent more than eight years with Waban Inc., the parent company for BJ’s Wholesale Club. She is a graduate of the University of Dayton, with a Bachelor of Science in Accounting.

Larry McGrath joined CVS Health in July 2022 as Senior Vice President, Investor Relations & Business Development. In this role Larry oversees the company’s communications with the investment community as well as its corporate development and M&A functions.

Larry brings extensive experience in health care and financial services to CVS Health, having most recently served as a Global Healthcare Fund Portfolio Manager at J.P. Morgan Asset Management in New York City. In this role he spent several years as a core investing analyst in the global health care space, managing a $7 billion product for J.P. Morgan clients. Prior to J.P. Morgan, Larry spent time as a health care analyst for Pioneer Investments in Boston, and also at Setanta Asset Management in Dublin, Ireland. His more than 20 years of experience in financial services has resulted in deep knowledge of the industry and many connections in the analyst community. Larry will be an integral part of communicating CVS Health’s growth strategy to investors.

Larry received his Bachelor of Commerce degree in commercial banking and finance from University College in Dublin, and his Masters Degree in investment and treasury management from Dublin City University.

Colleen McIntosh is SVP, Chief Governance Officer and Corporate Secretary for CVS Health. In this role, she provides legal oversight and support for all corporate, corporate development, mergers and acquisitions, and securities matters, including SEC and NYSE compliance. Her scope of responsibility also includes legal support for treasury, finance, human resources, compensation and benefits, and as Corporate Secretary, matters relating to the Board of Directors and subsidiary management.

Prior to joining CVS Health, Ms. McIntosh was Senior Vice President – Associate General Counsel at Medco Health Solutions, Inc., a national pharmacy benefits manager, where she had overall responsibility for a broad range of legal matters including Healthcare Reform, state insurance regulatory compliance, corporate, mergers and acquisitions, and labor and employment.

Previously, Ms. McIntosh was a business partner at Morrison & Foerster LLP, a large global law firm, where she worked primarily in the areas of employee benefits, executive compensation and business transactions.

Ms. McIntosh earned her Bachelor of Arts and Juris Doctor degrees from St. John’s University. In addition, she completed postgraduate law studies (LL.M.) in taxation at New York University School of Law.

Thomas S. Moffatt, Vice President, Assistant Secretary and Senior Legal Counsel of CVS Health Corporation since January 2014; Vice President and Secretary of CVS Health Corporation from January 2012 through December 2013; Vice President, Secretary and Senior Legal Counsel – Corporate Services of CVS Pharmacy, Inc. since August 2008. In this role, Mr. Moffatt provides legal oversight and support for a wide variety of corporate legal matters, including corporate governance, corporate structure and maintenance, SEC and NYSE compliance, capital markets transactions, and licensing.
Prior to joining CVS Health in August 1997, Moffatt spent four years as a corporate law associate at the law firm of Mintz Levin in Boston.
Mr. Moffatt earned his Bachelor of Arts degree from Harvard College, and his Juris Doctor degree from Northeastern University School of Law.
